Terms & Conditions of Sale
These Terms and Conditions apply to purchases made through the Seller’s website, online platforms, wholesale channels, exhibitions, trade events and other sales channels.
Please read these Terms carefully before placing an order.
1. Definitions
In these Terms:
“Seller” means MARIA RO DESIGN Ltd, a company registered in England and Wales.
“Buyer” means any person, business, company, organisation or other entity purchasing Goods from the Seller.
“Consumer” means an individual purchasing Goods wholly or mainly outside their trade, business or profession.
“Business Customer” means any Buyer purchasing Goods for resale, commercial use or business purposes.
“Goods” means products supplied by the Seller, including but not limited to twill silk scarves, silk shawls, pocket squares, silk accessories, gift products and related merchandise.
“Custom Goods” means Goods manufactured, modified or supplied according to specific requirements, including bespoke designs, colours, packaging or branding.
“Website” means the Seller’s website and any online sales platform operated by the Seller.
2. Application of these Terms
2.1 These Terms apply to all sales of Goods by the Seller.
2.2 By placing an order, the Buyer agrees to be legally bound by these Terms.
2.3 Any terms proposed by the Buyer shall not apply unless expressly accepted by the Seller in writing.
2.4 The Seller reserves the right to refuse any order before acceptance.
3. Online Orders and Contract Formation
3.1 When a Buyer submits an order through the Website, this constitutes an offer to purchase Goods.
3.2 A contract is formed only when the Seller confirms acceptance of the order by email or other written confirmation.
3.3 The Seller may cancel an order before dispatch where:

Goods are unavailable;
-
there is an error in price or description;
-
the Seller is unable to fulfil the order.
3.4 If an order is cancelled after payment has been made, the Buyer will receive a full refund.
4. Products and Descriptions
4.1 The Seller makes every effort to ensure that product descriptions, photographs and measurements are accurate.
4.2 Images are provided for illustration purposes only.
4.3 Due to photography, printing processes and screen settings, colours may vary slightly from the actual Goods.
4.4 Due to the nature of silk fibres and textile manufacturing, minor variations may occur in:

colour;
-
texture;
-
weave;
-
finish;
-
dimensions;
-
pattern placement.
Such variations shall not be considered defects.
5. Prices and Payment
5.1 All prices are displayed in GBP unless otherwise stated.
5.2 Prices exclude VAT unless stated otherwise.
5.3 The Seller reserves the right to correct pricing or administrative errors.
5.4 Payment must be received in full before Retail Orders are dispatched.
5.5 Approved Wholesale Customers may be offered agreed payment terms.
5.6 The Seller may require full or partial payment in advance.
6. Delivery
6.1 Delivery times shown on the Website are estimates only.
6.2 The Seller is not responsible for delays caused by:

courier companies;
-
customs procedures;
-
events outside the Seller’s control.
6.3 Risk in the Goods passes to the Buyer upon delivery.
6.4 The Buyer must inspect Goods upon receipt.
6.5 Any damage, shortage or incorrect delivery must be reported in writing within 48 hours of delivery.
7. Consumer Cancellation Rights
7.1 Consumers purchasing online may have the right to cancel their order under UK consumer protection legislation.
7.2 A Consumer may cancel an order within 14 days after receiving the Goods, unless an exception applies.
7.3 Goods must be returned:

unused;
-
undamaged;
-
in original packaging.
7.4 The Consumer is responsible for return delivery costs unless the Goods are faulty or incorrectly supplied.
8. Exceptions to Cancellation Rights
8.1 Cancellation rights do not apply to Custom Goods or products made to the Consumer’s specific requirements.
8.2 Custom Goods cannot be cancelled once production has started.
9. Returns and Refunds
9.1 Returns require prior contact with the Seller.
9.2 Goods returned without authorisation may not be accepted.
9.3 Refunds will be processed after inspection of returned Goods.
9.4 The Seller reserves the right to refuse refunds where Goods have been damaged, used or altered.
10. Wholesale Orders
10.1 Minimum order quantities or minimum order values may apply.
10.2 Due to manufacturing processes, including outsourced production, quantities supplied may vary by up to 10% above or below the quantity ordered.
10.3 Where fewer Goods are supplied, the Buyer will only be charged for Goods actually supplied.
10.4 Such variation shall not constitute a breach of contract.
10.5 Wholesale Orders cannot be cancelled without written agreement from the Seller.
11. Trade Shows
11.1 Goods purchased at exhibitions, trade fairs or similar events shall be considered inspected and accepted at the time of purchase.
11.2 This does not affect statutory rights relating to defective Goods.
12. Care of Goods
12.1 The Buyer must follow all care instructions supplied with the Goods.
12.2 The Seller is not responsible for damage caused by:

incorrect washing;
-
incorrect ironing;
-
unsuitable cleaning;
-
chemicals;
-
perfumes;
-
misuse;
-
normal wear and tear.
13. Intellectual Property
13.1 All designs, artwork, photographs, branding, catalogues and promotional materials remain the intellectual property of the Seller.
13.2 No design, image or artwork may be copied, reproduced or distributed without written permission.
13.3 Where the Buyer provides designs, logos or artwork, the Buyer confirms they have the necessary rights.
14. Brand Protection
14.1 The Buyer must not remove, modify or replace Seller branding, labels or packaging without written approval.
14.2 The Buyer must not represent Seller products or designs as their own creations.
15. Title and Ownership
15.1 Ownership of Goods remains with the Seller until full payment has been received.
15.2 Until ownership passes, the Buyer must:
-
store Goods separately;
-
identify them as Seller property;
-
maintain suitable insurance.
16. Limitation of Liability
16.1 Nothing in these Terms limits liability where such limitation is unlawful.
16.2 The Seller’s total liability shall not exceed the amount paid for the Goods giving rise to the claim.
16.3 The Seller shall not be liable for indirect losses including loss of profit, business or goodwill.
17. Website Use
17.1 The Seller does not guarantee that the Website will always be available or error-free.
17.2 Website content may be updated without notice.
17.3 The Buyer must not misuse, copy or reproduce Website content without permission.
18. Force Majeure
The Seller shall not be responsible for failure or delay caused by circumstances outside reasonable control, including:

natural disasters;
-
war;
-
government restrictions;
-
transport disruption;
-
supply chain issues;
-
industrial disputes.
19. Data Protection
19.1 Personal data will be processed in accordance with UK GDPR and the Data Protection Act 2018.

20. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over disputes.
21. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force.
